These Terms and Conditions govern access to and use of the HEAL360 website, learning management platform, Enterprise interfaces and related digital services (collectively, the “Platform”). By accessing or using the Platform, a user agrees to comply with these Terms and any applicable organisation-specific policies or agreements.

1. About HEAL360

HEAL360 is a healthcare learning, competency and workforce intelligence platform. Depending on the deployment and permissions, the Platform may provide learning content, courses, assessments, certificates, live-learning functions, organisation and user administration, reporting, integrations, AI-enabled functions and other enterprise capabilities.

2. Eligibility and authorised access

Users may access the Platform only when they are legally permitted to do so and, where applicable, have been authorised by the relevant organisation. Users must provide accurate information when creating or using an account and must use only the account and permissions assigned to them.

3. User accounts and credentials

Users are responsible for maintaining the confidentiality of their login credentials and for activity performed through their accounts. Passwords must not be shared. Suspected unauthorised access, credential compromise or account misuse should be reported promptly to the relevant administrator or support contact.

4. Organisation and role-based access

Platform functionality can vary according to organisation, role, enrolment, permissions and configuration. Administrators are responsible for assigning appropriate access and should follow the principle of least privilege. A user must not attempt to access another organisation’s data or functions without authorisation.

5. Acceptable use

Users must use the Platform lawfully and for legitimate learning, training, administration or authorised organisational purposes. Users must not attempt to bypass security controls, gain unauthorised access, disrupt the service, introduce malicious code, scrape or extract protected information without authority, impersonate another user, or use the Platform to infringe the rights of another person or organisation.

6. Learning content

Courses, documents, assessments, videos, presentations and other learning materials may be owned by HEAL360, the subscribing organisation, instructors, licensors or other rights holders. Access to content does not transfer ownership. Content may not be copied, republished, sold, distributed or commercially reused except where expressly authorised.

7. Assessments and certificates

Assessment results, completion status and certificates depend on course rules, learner activity, configuration and applicable organisational requirements. A certificate generated by the Platform represents the information recorded by the Platform at the relevant time and does not, by itself, constitute a professional licence, regulatory approval or independent credential unless expressly stated by the competent issuing authority.

8. Healthcare and clinical disclaimer

HEAL360 is a learning and workforce platform and is not a substitute for professional medical judgement, current clinical guidelines, hospital policies, regulatory requirements or emergency procedures. Users remain responsible for following applicable professional standards and their organisation’s approved policies.

9. AI-enabled features

Where AI-enabled functions are available, their outputs may be incomplete, inaccurate or unsuitable for a particular context. AI output should be reviewed by an appropriately authorised person before it is relied upon for operational, educational or healthcare-related decisions. Users must not submit information to an AI function unless they are authorised to do so and the relevant privacy and organisational requirements permit it.

10. Third-party services and integrations

The Platform may integrate with external services selected or configured by an administrator. Third-party services can be subject to their own terms, privacy policies, availability and technical requirements. HEAL360 does not control independent third-party services and their use may require separate authorisation or agreements.

11. Privacy and data protection

Personal information processed through the Platform should be handled in accordance with the applicable Privacy Policy, organisational requirements and applicable data-protection law. Users must not upload, disclose or process personal, confidential or patient information unless they are authorised and the Platform configuration is approved for that purpose.

12. Cookies

The Platform may use cookies and similar technologies for security, sessions, preferences and other configured functions. Additional information is provided in the HEAL360 Cookie Policy.

13. Intellectual property

Unless otherwise stated, the HEAL360 name, platform design, software, documentation, original content and related intellectual property are protected by applicable intellectual-property laws. Nothing in these Terms grants a user ownership of HEAL360 intellectual property.

14. Availability and changes

HEAL360 may update, maintain, improve, replace or discontinue Platform features where reasonably necessary. Temporary interruptions can occur because of maintenance, security events, infrastructure failures, third-party dependencies or circumstances outside reasonable control. Where an organisation has a separate service agreement, applicable service commitments in that agreement take precedence over this general website provision.

15. Suspension and termination

Access may be suspended or terminated where an account expires, an organisation ends access, a user violates these Terms, security requires immediate action, or access is otherwise no longer authorised. Relevant records may be retained after termination where required by law, contractual obligations, audit requirements or legitimate operational needs.

16. User-generated and uploaded content

Users are responsible for ensuring they have the right and authority to upload or submit content. Users must not upload unlawful, infringing, malicious, deceptive or unauthorised confidential material. An organisation may establish additional rules for content uploaded by its users.

17. Security responsibilities

HEAL360 and participating organisations should apply appropriate technical and organisational safeguards. Users also have responsibilities, including using secure credentials, keeping devices reasonably protected, signing out of shared devices and promptly reporting suspected security incidents.

18. Limitation of reliance

Information provided through the Platform is intended for the purpose for which it is published. Users should verify information where accuracy is material. To the extent permitted by applicable law, the Platform is provided subject to the limitations and exclusions set out in the applicable commercial or service agreement.

19. Indemnity and liability

Any indemnity, warranty, liability cap, exclusion of consequential loss or other allocation of commercial risk applicable to an organisation should be governed by the signed agreement between the relevant parties. These website Terms do not override mandatory rights or liabilities that cannot lawfully be excluded.

20. Governing terms for enterprise customers

If an organisation has entered into a separate subscription, licence, implementation, data-processing, service-level or other written agreement for HEAL360, that agreement will govern the organisation’s use of the Platform to the extent of any inconsistency with these general Terms.

21. Changes to these Terms

These Terms may be updated to reflect changes in the Platform, business practices, legal requirements or security needs. The effective date and version should be updated when revised Terms are published. Where required, users or organisations may be notified of material changes.

22. Governing law and disputes

The governing law, jurisdiction and dispute-resolution process should be determined by the applicable contract with the organisation operating or subscribing to HEAL360 and by mandatory applicable law. The final published version should identify the appropriate contracting entity and jurisdiction before production use.
